NexPect Legal

1. Eligibility & Accounts

You must be at least 13 years old to use NexPect. Users under 18 must have verifiable parental or legal guardian consent. You are responsible for the accuracy of the information you provide and for safeguarding your login credentials. You may not impersonate others, misrepresent your affiliation, age, role (Player, Scout, Fan, Brand), or verification status. One account per person. Creating multiple accounts to bypass limits, restrictions, or enforcement actions is prohibited.

2. Roles on the Platform

NexPect offers different roles (Player, Scout/Recruiter, Fan, Brand, Admin). Each role has different permissions, visibility, and access rules. We may change role definitions, gating, and access at any time.

3. Acceptable Use

You agree NOT to:

Post illegal, infringing, harassing, hateful, sexually explicit, violent, deceptive, or otherwise harmful content.
Upload footage you do not own or have rights to share, including match footage with conflicting broadcast rights.
Solicit minors, share personal data of others without consent, or engage in predatory behavior.
Use the Service to scrape, mirror, reverse engineer, or build competing datasets or products.
Interfere with the Service's infrastructure, security, rate limits, or moderation systems.

4. Platform Control

NexPect retains full discretion over the Service. We may, at any time and without prior notice:

Remove, hide, or delete any content for any reason, including violations of these Terms or our community guidelines.
Limit the visibility or distribution of content, including algorithmic suppression, demotion, or de-amplification ("shadow limits").
Suspend, throttle, or restrict any feature for any user, group, region, or device.
Apply manual or AI-assisted moderation, including review of uploads, messages, profile data, and behavioral signals.
Modify, replace, or discontinue any part of the Service.

You have no right to a specific reach, ranking, recommendation slot, or visibility level.

5. AI, Automation & Algorithmic Decisions

NexPect uses artificial intelligence and automated systems for, among other things:

Content moderation (including video moderation via third-party AI such as Hive).
Recommendations, ranking, "Rising Talent" surfacing, matching, and discovery.
Fraud, spam, and abuse detection.
Smart matching, scoring (e.g., Scout Score), and personalization.

You acknowledge and agree that:

Decisions affecting your account, content visibility, matches, or eligibility may be made wholly or partly by automated systems.
AI systems are imperfect and may produce false positives, false negatives, mis-rankings, or other errors.
NexPect is not liable for outcomes resulting from automated decisions, including missed opportunities, lost visibility, or incorrect moderation actions.
Where required by law, you may request human review of certain automated decisions by contacting support.

6. Subscriptions, Payments & Virtual Goods

NexPect offers paid plans (e.g., Player Pro, Player Elite, Player Pro+, Scout Starter, Scout Pro, Scout Elite) and may offer one-time purchases such as visibility boosts, featured opportunities, or virtual items.

Billing. Subscriptions are billed in advance on a recurring basis (monthly or annual). You authorize NexPect and its payment processors to charge your chosen payment method.
Automatic renewal. Subscriptions renew automatically at the then-current price until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
No refunds. Except where required by applicable law, all payments are final and non-refundable, including for partial billing periods, unused time, downgrades, or after account termination.
Price changes. We may change prices, features included in any plan, trial terms, or promotional offers at any time. Continued use after a price change constitutes acceptance.
Taxes. You are responsible for any applicable taxes, duties, or fees.
Virtual goods. Boosts, featured slots, gifts, badges, and other virtual items have no real-world or monetary value, cannot be exchanged for cash, are non-transferable, and may be modified, revoked, or expired at our discretion. Unused virtual goods are forfeited on account termination.
Chargebacks. Fraudulent chargebacks may result in immediate suspension and forfeiture of access.
Third-party billing. Purchases made through Apple, Google, or other app stores are also subject to those platforms' terms.

7. Data Usage & Personalization

By using NexPect, you consent to our collection and use of data as described in our Privacy Policy, including:

Analytics, telemetry, and behavioral tracking (views, taps, watch time, follows, messages, etc.).
Algorithm-based recommendations and content personalization.
Use of profile, performance, and engagement data to power Scout Score, matching, leaderboards, and discovery.
Aggregated and de-identified use of data to improve the Service, train internal models, and develop new features.
Use of cookies, device identifiers, and similar technologies.

You can manage some preferences in Settings, but core functionality requires data processing.

8. Content & License Grant

You retain ownership of the content you post. By submitting content to NexPect, you grant NexPect a worldwide, royalty-free, sublicensable, transferable, perpetual, irrevocable (for the duration of the use case) license to host, store, reproduce, modify, adapt, translate, create derivative works of, publicly perform, publicly display, and distribute your content in connection with:

Operating, providing, and improving the Service.
Promotion, marketing, and advertising of NexPect across any media, including social media, paid ads, partner channels, press, and trailers.
Recommendations, embeds, thumbnails, highlight reels, compilations, and feature showcases.
Training and improving moderation, recommendation, and matching systems (subject to applicable law).

You represent and warrant that you have all rights necessary to grant this license, including rights to any third parties (teammates, coaches, opponents, minors with guardian consent) appearing in your content.

9. Enforcement

We may enforce these Terms, our community guidelines, and applicable law using any combination of the following, with or without prior notice and at our sole discretion:

Warnings or educational notices.
Content removal, downranking, or visibility limits.
Feature restrictions (e.g., disabling messaging, uploads, opportunities, monetization, verification, or comments).
Temporary suspension of an account.
Permanent ban of an account, device, or associated accounts.
Forfeiture of subscriptions, boosts, badges, and virtual goods without refund.
Reporting to law enforcement where required.

Enforcement decisions are final unless reversed by us. We are not required to provide an explanation.

10. Anti-Manipulation & Abuse

The following are strictly prohibited and may trigger immediate enforcement:

Fake engagement, including purchased or coordinated views, likes, follows, comments, or shares.
Bots, scripts, automation, emulators, or any non-human interaction with the Service.
Operating, controlling, or coordinating multiple accounts to evade limits, bans, or moderation.
Manipulating the algorithm, leaderboards, Scout Score, challenge submissions, or matching outcomes.
Abuse of boosts, featured slots, referral systems, promotions, or trial periods.
Falsifying verification documents, credentials, match footage, or performance metrics.
Coordinated harassment, brigading, or report abuse.

11. Verification, Trust & Trust Signals

Verification badges, Scout Score, "Rising Talent" status, endorsements, and similar signals are provided "as is" and may be revoked, recalculated, or removed at any time. They do not constitute a guarantee of any fact, achievement, contract, or identity.

12. Third-Party Services

NexPect relies on third-party providers, including hosting, content delivery, payment processors, AI/ML providers (including moderation), authentication providers, email and SMS providers, analytics, and integrated app stores. You acknowledge that:

We do not control these third parties.
Outages, defects, data loss, security incidents, billing errors, or policy changes by third parties may affect the Service.
NexPect is not liable for any third-party failure, action, or omission.

13. User-to-User Interactions & Disputes

NexPect is a venue. We are not a party to any agreement, contract, trial, tryout, sponsorship, payment, transfer, or other arrangement made between users (Players, Scouts, Brands, Fans, agents, clubs, etc.).

We make no representations about the identity, qualifications, intentions, or legitimacy of any user.
We do not guarantee that any opportunity, offer, or interaction will result in a trial, contract, payment, or other outcome.
All interactions, communications, and agreements occur at your own risk.
You are solely responsible for due diligence, contracts, payments, travel, safety, and outcomes.
Disputes between users must be resolved between those users. NexPect has no obligation to mediate, refund, or compensate.

14. Minors

Users under 18 ("Minors") require verifiable consent from a parent or legal guardian to use the Service. Parents/guardians are responsible for supervising the Minor's use, including communications with scouts, recruiters, brands, and other users. NexPect provides tools to limit messaging access (e.g., restricting unverified contact), but cannot guarantee the safety, behavior, or intent of any user. NexPect is not responsible for any interaction, agreement, travel, trial, or outcome involving a Minor. If you believe a Minor is being harmed on the Service, report it immediately to support and, where appropriate, to law enforcement.

15. Platform Changes

NexPect is an evolving product. We may, at any time and without notice:

Add, modify, remove, or discontinue features, plans, prices, sports, regions, languages, UI, or workflows.
Change role definitions, permissions, eligibility, or gating.
Adjust algorithms, scoring formulas, matching logic, or moderation thresholds.
Migrate, archive, or delete data consistent with our Privacy Policy and legal obligations.

You have no vested right in any specific feature, layout, or behavior of the Service.

16. Termination

You may stop using the Service at any time and request account deletion in Settings. We may suspend or terminate your account, or any portion of the Service for you, at any time, for any reason, with or without notice.

Upon termination:

You lose access to your content, messages, connections, opportunities, applications, history, and any data we are not legally required to retain.
Active subscriptions, boosts, badges, virtual goods, and credits are forfeited.
You are not entitled to any compensation, refund, or transfer of data beyond what is required by law.

Sections that by their nature should survive termination (including license grant, disclaimers, limitation of liability, indemnity, and dispute resolution) will survive.

17. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. NEXPECT DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR EXPECTATIONS, RESULT IN A CONTRACT, OPPORTUNITY, OR OUTCOME, OR BE FREE FROM ERRORS, BUGS, OR SECURITY INCIDENTS.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXPECT, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OPPORTUNITY, DATA, REPUTATION, OR EXPECTED CONTRACTS, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID NEXPECT IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

19. Indemnification

You agree to defend, indemnify, and hold harmless NexPect and its affiliates from any claim, demand, loss, liability, or expense (including attorneys' fees) arising from: (a) your use of the Service; (b) your content; (c) your violation of these Terms or applicable law; or (d) your interactions or agreements with other users.

20. Governing Law & Disputes

These Terms are governed by applicable law of NexPect's principal place of business, without regard to conflict-of-laws principles. To the extent permitted by law, you agree that any dispute will be resolved on an individual basis (no class actions) and, where allowed, through binding arbitration.

21. Changes to These Terms

We may update these Terms at any time. When we do, we will revise the "Effective" date and may notify you in-app or by email. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.
